PLEASE READ THESE TERMS OF USE CAREFULLY. THEY ARE A BINDING LEGAL AGREEMENT. By clicking “Accept” (or a similarly worded button), by entering a passcode or signing in, or by otherwise accessing or using the Services, you agree to be bound by these Terms and acknowledge that you have read our Privacy Policy. If you do not agree, do not access or use the Services.

ARBITRATION NOTICE: SECTION 25 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION AND JURY TRIAL WAIVER. EXCEPT AS STATED IN SECTION 25, DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 25.9.

NOTICE REGARDING MINORS: THE SERVICES ARE NOT AVAILABLE TO ANYONE UNDER 13. IF YOU ARE 13 OR OLDER BUT UNDER THE AGE OF MAJORITY WHERE YOU LIVE, YOU MAY USE THE SERVICES ONLY IF YOUR PARENT OR LEGAL GUARDIAN HAS ACCEPTED THESE TERMS FOR YOU AS DESCRIBED IN SECTION 5.

CONTENTS

1. ABOUT THESE TERMS

1.1 Parties. These Terms of Use (these “Terms”) are a binding legal agreement between you and Saint & Citizen Ventures LLC, a Florida limited liability company doing business as Saint & Citizen (“Saint & Citizen,” “we,” “us” or “our”).

1.2 The Services. These Terms govern your access to and use of the following (together, the “Services”):

(a) our private hub at saints.team and any related or successor domain, including every client link, creator link, portal, workspace, page, form, file-transfer and download tool, tracker, schedule, brand kit, notification and email we provide;

(b) any shared folder, drive, storage location or third-party workspace we give you access to in connection with our work (for example, a shared Google Drive folder);

(c) any mobile or desktop application we make available; and

(d) any features, tools, content or channels we add or change in the future, whether or not they exist today.

1.3 Who these Terms apply to. These Terms apply to everyone we give access to, including clients, brands, sponsors, partners, creators and talent, managers, agents and other representatives, parents and legal guardians of minors, freelancers, collaborators, vendors and, if we offer them, members and event guests. Some sections apply only to particular roles (see Section 27).

1.4 How you accept. You accept these Terms by clicking “Accept” (or a similarly worded button), by entering a passcode or signing in, or by otherwise accessing or using the Services. Each time you use the Services, you confirm that you accept the version of these Terms then in effect.

1.5 Private, invitation-only Services. The Services are private and available by invitation only. Nothing in these Terms requires us to give anyone access, to continue anyone’s access, or to enter into any project, engagement or Underlying Agreement.

2. DEFINITIONS

In these Terms:

(a) “Access Credentials” means any link, passcode, password, account, token, folder invitation or other means of accessing the Services issued to you or chosen by you.

(b) “Authorized User” means a person to whom we have given access to the Services.

(c) “Collaborator” means a freelancer, crew member, contractor, agency or vendor we engage to help make or deliver work (for example, an editor, designer, photographer or production crew). Creators, other talent, and their management or agencies are not Collaborators.

(d) “Confidential Information” has the meaning given in Section 10.1.

(e) “Creator” means a creator, correspondent, host or other talent who is the face or voice of a Saint & Citizen program, series, show, event or community (for example, a correspondent on the Channel 73 network or the host of Saints Book Club). In these Terms, “creator link” and “creator page” refer to the part of the Services built for Creators and their managers. Section 27.2 explains which rules apply to Creators specifically.

(f) “Minor” means an individual who is at least 13 years old but under 18, or under the age of majority in the jurisdiction where the individual lives, if that age is higher.

(g) “Organization” means the company, brand, agency or other entity on whose behalf you use the Services, if any.

(h) “Our Materials” means everything we or our other clients, creators and partners make available through the Services other than Your Content, including project plans, trackers, schedules, briefs, documents, brand kits, logos, fonts, templates, creative work, deliverables and the Services themselves.

(i) “Parent” means the parent or legal guardian of a Minor who has the legal authority to act and to contract on the Minor’s behalf.

(j) “Privacy Policy” means our privacy policy, as posted in or linked from the Services and as updated from time to time.

(k) “Project Participants” means the people who are given access to the same project, link, page, folder or materials as you, including other Authorized Users from your side, our team, the Collaborators working on the project, and any Creators, other talent and their representatives on the project.

(l) “Saint & Citizen Parties” means Saint & Citizen, its parents, subsidiaries and affiliates, and each of their respective members, managers, officers, directors, employees, contractors, agents, licensors, successors and assigns.

(m) “Underlying Agreement” means any separate written agreement between us and you or your Organization (for example, a services agreement, statement of work, sponsorship agreement, talent or creator agreement, release, contractor agreement or non-disclosure agreement).

(n) “Your Content” means any files, information, messages, answers, links, approvals and other material you upload, submit or send through the Services.

3. RELATIONSHIP TO OTHER AGREEMENTS

3.1 Your Underlying Agreement comes first. These Terms govern how you access and use the Services. If these Terms conflict with an Underlying Agreement, the Underlying Agreement controls as to that conflict. For example, fees, payment, deliverables, ownership of work, publishing and usage rights, exclusivity and confidentiality periods are set by your Underlying Agreement, and anything it expressly permits you to do is not prohibited by these Terms.

3.2 Where there is a gap. Where an Underlying Agreement does not address a matter, these Terms apply to it. Where there is no Underlying Agreement, these Terms and any written project terms that you and we have both confirmed in writing (for example, by email) govern. If they conflict, the confirmed project terms control.

3.3 No commitment to contract. These Terms are not an Underlying Agreement. They do not engage you to perform services, commit us to purchase or pay for anything, or grant you any rights in our work, except the limited right to use the Services described here.

4. ELIGIBILITY AND AUTHORITY

4.1 Age. To use the Services on your own behalf, you must be at least 18 years old, or the age of majority where you live if that age is higher. A Minor may use the Services only as permitted by Section 5. No one under 13 may use the Services.

4.2 Organizations. If you use the Services on behalf of an Organization, you represent and warrant that you are authorized to accept these Terms on its behalf, and “you” includes that Organization. The Organization is responsible for the acts and omissions of its personnel in connection with the Services.

4.3 Representatives. If you are a manager, agent or other representative acting for a creator, talent or other person, you represent and warrant that you are authorized to act for that person in the Services, and you are responsible for making sure that person is aware of and complies with these Terms. If the person you represent is a Minor, you also represent and warrant that the Minor’s Parent has accepted these Terms as required by Section 5.

4.4 Legal capacity. You represent and warrant that you have the legal capacity to enter into these Terms, that you are not barred from using the Services under any applicable law, and that you are not located in, or a resident or national of, any country subject to a United States government embargo, or named on any United States government list of prohibited or restricted parties.

4.5 Accurate information. All information you give us about yourself, your Organization and anyone you represent must be true, current and complete, and you must update it promptly if it changes.

5.1 No children under 13. The Services are not directed to children under 13, and no one under 13 may access or use them. We do not knowingly collect personal information from children under 13. If we learn that we have, we will end that access and delete the information as required by law. If you believe a child under 13 has given us personal information, contact us at marvens@saintandcitizen.com.

5.2 When a Minor may use the Services. A Minor may access and use the Services only if all of the following are true:

(a) we have approved the Minor’s access in writing in connection with a specific project, program or engagement;

(b) the Minor’s Parent has read these Terms and the Privacy Policy and has accepted these Terms, on the Parent’s own behalf and on behalf of the Minor, using the acceptance method we designate (for example, the Parent or Legal Guardian Consent and Acceptance in Schedule A, or an electronic acceptance tied to the Parent’s verified contact details);

(c) the Parent has signed every Underlying Agreement, release and consent that we require for the Minor; and

(d) the Minor’s use complies with these Terms and applicable law.

Any access or use by a Minor that does not meet these conditions is unauthorized.

5.3 Parent’s representations. By accepting these Terms for a Minor, the Parent represents and warrants that:

(a) the Parent is at least 18 years old and is the Minor’s parent or legal guardian, with full legal right, power and authority to accept these Terms on the Minor’s behalf and to give the consents, licenses and permissions in them;

(b) no other person’s consent is required for the Minor to use the Services or, if it is (for example, under a custody order), the Parent has obtained it;

(c) the Parent has read these Terms and the Privacy Policy and has explained them to the Minor in a way the Minor understands;

(d) the Parent consents to the Minor’s use of the Services and to our collection, use and disclosure of the Minor’s personal information as described in the Privacy Policy; and

(e) all information the Parent or the Minor gives us, including the Minor’s age, is true and complete.

5.4 Parent’s responsibility. The Parent:

(a) is responsible for supervising the Minor’s use of the Services;

(b) is responsible for all activity carried out with Access Credentials issued to the Minor or to the Parent;

(c) is responsible for the Minor’s compliance with these Terms, so that any breach by the Minor is treated as a breach by the Parent; and

(d) to the fullest extent permitted by law, is jointly and severally liable with the Minor for the Minor’s obligations under these Terms and guarantees the Minor’s performance of them.

5.5 Grants made on the Minor’s behalf. Every license, consent, promise, approval and permission given under these Terms by or for a Minor, including the license in Section 8.2 and approvals under Section 12.2, is given by the Parent on the Minor’s behalf as well as by the Minor. The use of a Minor’s name, image, likeness, voice and performance is governed by the Underlying Agreement and releases signed by the Parent. We will not publish a Minor’s name, image, likeness or voice without the Parent’s written permission.

5.6 No disaffirmance. To the fullest extent permitted by law, the Parent agrees, on the Parent’s own behalf and on behalf of the Minor, that the Minor will not disaffirm, void or rescind these Terms, or any acceptance, approval, license or consent given under them, on the ground that the Minor was a minor when it was given. If the Minor does so or attempts to do so, the Parent remains fully bound by these Terms and will indemnify the Saint & Citizen Parties under Section 22 for all resulting losses.

5.7 Child performer laws and court approval. Where applicable law regulates the services of minors in entertainment, media or creative work (including laws on work permits, working hours, education, supervision and set-aside or blocked trust accounts), those matters are addressed in the Underlying Agreement. The Parent will comply with those laws and will give us the permits and documents we reasonably request. Where applicable law permits or requires a court to approve a minor’s contract, the Parent will cooperate with us, at our request, in seeking that approval.

5.8 Communications and supervision. We may direct communications about a Minor to the Parent, require that the Parent be copied on or included in communications with the Minor, require that the Parent hold or share the Minor’s Access Credentials, and limit or disable any feature for a Minor. A manager, agent or other representative of a Minor must keep the Parent informed and must not approve or agree to anything on the Minor’s behalf without the Parent’s authorization.

5.9 Parent’s rights. A Parent may at any time ask us to (a) tell the Parent what personal information we hold about the Minor, (b) correct or delete that information, or (c) withdraw the Parent’s consent and end the Minor’s access, by contacting us at marvens@saintandcitizen.com. We may verify the Parent’s identity and authority before acting. Withdrawing consent ends the Minor’s access to the Services. It does not affect any Underlying Agreement, anything done before the withdrawal, any rights already granted under an Underlying Agreement or release, or information we are required or permitted by law to keep. A Minor or Parent may also ask us to remove content the Minor has posted to the Services. Removal does not guarantee complete erasure, since copies may remain in backups or with Project Participants who already received the content.

5.10 Verification. We may at any time ask for proof of a user’s age or identity, or of a Parent’s identity and authority, and may suspend access until we receive it. We are not required to verify this information and may rely on what we are told.

5.11 Reaching the age of majority. When a Minor reaches the age of majority, these Terms continue to apply. The individual’s continued use of the Services after that date is that individual’s own acceptance of these Terms and ratification of every acceptance, approval, license and consent given on that individual’s behalf while a Minor. The Parent’s obligations for the period before that date continue.

5.12 Protecting Minors. Every Authorized User must follow these rules when a Minor is involved in a project. You must not:

(a) ask a Minor for personal information that is not needed for the project;

(b) contact a Minor outside the channels we designate, or without including the Minor’s Parent where we require it;

(c) upload, share or publish any image, recording or personal information of a Minor without the written consent of the Minor’s Parent; or

(d) upload, send, request or link to any content that sexualizes, exploits or endangers a minor.

Report any concern about the safety of a Minor immediately to marvens@saintandcitizen.com. We report apparent child sexual exploitation as required by law and cooperate with law enforcement.

5.13 Unauthorized use. If we learn that a person under 13, or a Minor whose Parent has not accepted these Terms, has accessed the Services, we may end that access and delete the related account and content without notice. Any Authorized User who enabled that access is responsible for it.

5.14 Dispute resolution. The Parent agrees to Section 25 (including the agreement to arbitrate and the class action and jury trial waivers) on the Parent’s own behalf and, to the fullest extent permitted by law, on behalf of the Minor.

6. ACCESS AND SECURITY

6.1 Your access is personal. Access Credentials are issued to you alone. You must not share, forward, sell, transfer or disclose your passcode, password or other Access Credentials to anyone, including colleagues. If someone else needs access, ask us and we will decide whether to give that person separate access.

6.2 Links and folders are confidential. Treat every link, folder and invitation we send you as confidential. Do not post, publish or forward it to anyone who has not been given access by us.

6.3 Your responsibility. You are responsible for all activity carried out with your Access Credentials, whether or not you authorized it, until you have told us about a compromise under Section 6.5 and we have had a reasonable opportunity to act. You are not responsible for activity caused solely by us or our service providers. An Organization, manager or agent is responsible for its personnel’s compliance with these Terms.

6.4 Keep your access secure. You must:

(a) sign out when you finish, and always on any shared, public or borrowed device;

(b) protect your devices with a password or lock and keep them updated;

(c) not let a browser or tool save or sync your passcode on a device others can use;

(d) keep your contact details up to date so that access messages reach you; and

(e) tell us promptly when someone on your side should no longer have access (for example, when that person leaves your Organization).

6.5 Report problems immediately. Tell us immediately at marvens@saintandcitizen.com if you know or suspect that your Access Credentials, a link or folder, or any Confidential Information has been lost, disclosed or accessed without authorization, or if you receive access or content you believe was not meant for you. In that case, do not use, copy or forward it, and delete it if we ask.

6.6 What we can see and do. For security and support, authorized members of our team can view, reset and resend passcodes, see when a link or account was last used and, where the Services record it, see which person uploaded or approved something. We may change, suspend, expire, rotate or revoke any Access Credentials at any time, in our sole discretion, with or without cause and with or without notice.

6.7 Sessions end. For your protection, sessions may end after a period of inactivity or a maximum time, and you may need to enter your passcode or sign in again.

7. ACCEPTABLE USE

7.1 Prohibited conduct. Except as your Underlying Agreement expressly permits, you must not, and must not help or allow anyone else to:

(a) access or try to access any part of the Services, or any account, link, folder, project or data, that you have not been given access to, or use anyone else’s Access Credentials;

(b) share Our Materials or Confidential Information with anyone not authorized to receive it;

(c) upload, send or link to anything that is unlawful, infringing, defamatory, obscene, threatening, harassing or discriminatory, or that violates anyone’s privacy, publicity or other rights;

(d) upload, send, request or link to any content that sexualizes, exploits or endangers a minor, or otherwise breach Section 5.12;

(e) upload or transmit viruses, malware, or any harmful, disruptive or deceptive code or files;

(f) probe, scan or test the vulnerability of the Services, bypass or interfere with any security, rate limit, lockout or access control, or attempt to guess passcodes;

(g) copy, scrape, crawl, harvest or systematically download the Services or Our Materials, including with bots, scripts or artificial intelligence or machine-learning tools, except for downloading the files made available to you for your project;

(h) use Our Materials, or other people’s content obtained through the Services, to train, fine-tune or benchmark any artificial intelligence or machine-learning model, or enter them into any third-party artificial intelligence tool that we have not approved in writing;

(i) use Our Materials, or other people’s content obtained through the Services, to create a digital replica, synthetic likeness or imitation of any person’s name, image, likeness, voice or performance;

(j) reverse engineer, decompile, modify, frame, mirror or create derivative works of the Services;

(k) remove, hide or alter any copyright, trademark, confidentiality or other notice on Our Materials;

(l) collect or store personal information about other users except as needed for the project;

(m) use the Services to send spam, unsolicited messages or marketing;

(n) impersonate any person or misrepresent your identity, age, role or authority;

(o) send sensitive information in breach of Section 8.4;

(p) use the Services in a way that could damage, overload or impair them or interfere with anyone else’s use;

(q) use the Services for any purpose other than the project, program or relationship for which we gave you access, or to build or support a competing product or service; or

(r) use the Services in violation of any applicable law, including export control and sanctions laws.

7.2 Enforcement. We may investigate any suspected breach of these Terms, remove or disable any content, suspend or end access, and report conduct we believe to be unlawful to law enforcement or other authorities, including by disclosing relevant records. We are not required to take any of these steps and are not liable for taking them or for not taking them.

8. YOUR CONTENT

8.1 You keep what you own. As between you and us, you (or your licensors) keep ownership of Your Content, unless an Underlying Agreement says otherwise. Nothing in these Terms limits what you may do with Your Content.

8.2 License to us. You grant us, our affiliates and our service providers a worldwide, non-exclusive, royalty-free license (which we may sublicense to Project Participants and service providers, and transfer under Section 28.2) to host, store, copy, transmit, display, process, convert, compress, create previews and thumbnails of, back up, and share with Project Participants, Your Content, as needed to operate, secure and improve the Services, to carry out the project or engagement, and to exercise our rights under any Underlying Agreement. This license does not give us the right to publish Your Content publicly or to use it commercially outside the project unless an Underlying Agreement or your written permission allows it. The license continues for as long as we hold Your Content and for any longer period an Underlying Agreement allows.

8.3 Your promises. For all of Your Content, you represent and warrant that:

(a) you own it or have all rights, licenses, consents and permissions needed to provide it to us and to grant the license in Section 8.2;

(b) where it shows, names or includes information about any other person (including that person’s image, voice or likeness), you have that person’s permission or another lawful basis to share it with us for the project and, where that person is a minor, the written consent of the minor’s parent or legal guardian;

(c) it is accurate to the best of your knowledge, and neither it nor our use of it as permitted by these Terms violates any law or any third party’s rights; and

(d) to your knowledge, it is free of viruses and other harmful code.

8.4 Sensitive information. Do not upload or send through the Services payment card numbers, passwords or login details for other services, scans of passports, driver’s licenses or other identity documents, Social Security numbers, health information, or other sensitive personal information about you or anyone else, unless we have asked for it and told you where to send it. If you are unsure, ask us first.

8.5 Financial and business documents. From time to time, and when we ask for them, you may send invoices, purchase orders, tax forms (for example, a W-9 or W-8), signed agreements, releases and similar business documents through the place in the Services we designate for them. Include only the information the document needs. You understand that:

(a) these documents can be seen by the people with access to that place (including, on a creator page, the managers and representatives with access to it), by members of our team with access to the Services, and by anyone with access to the shared folder where they are stored, which for a project can include the Collaborators, creators, talent and representatives on its team list (see Section 8.6); and

(b) the Services are not a payment system, and sending an invoice through them is not a payment or a guarantee of payment.

Bank account and payment details are collected through a third-party payroll provider that acts for us and from the invoices you submit to us. Include bank details on an invoice only where they are needed for payment, and do not send them through the Services in any other way unless we ask you to.

8.6 Visibility. You understand that Your Content will be visible to Project Participants. For example, everyone on the same client link sees content uploaded to it, a creator’s managers see that creator’s page, and the team, Collaborators, creators, talent and representatives on a project’s team list can access its files, including in our shared file storage, where they may be able to edit, download or keep copies.

8.7 No backup obligation. The Services are a working and delivery tool, not an archive or backup service. Keep your own copies of anything important. We may remove, move, archive or stop storing Your Content in line with our Privacy Policy and any Underlying Agreement.

8.8 Our right to remove content. We do not review all of Your Content and have no obligation to do so. We may refuse, remove or disable access to any of Your Content that we believe breaches these Terms or the law, or exposes us or anyone else to harm or liability.

9. OUR MATERIALS, INTELLECTUAL PROPERTY AND BRAND KITS

9.1 Ownership. The Services and Our Materials are owned by us, our clients, creators, partners or licensors, and are protected by copyright, trademark, trade secret and other intellectual property laws. Saint & Citizen, Channel 73, Saints Book Club and our other names, logos and marks are our trademarks, and you may not use them without our prior written permission.

9.2 Limited license to you. Subject to these Terms and any Underlying Agreement, we give you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access, view and download Our Materials that we make available to you, solely for the project, program or relationship for which they were provided.

9.3 Brand kits and logos. Brand kits, logos, fonts, templates, intro and outro assets and similar materials may be used only as instructed by us or as your Underlying Agreement permits, and only for the approved purpose. Font files may be subject to their own licenses. You must not alter trademarks or logos or use them in a way that suggests an endorsement that has not been approved in writing.

9.4 Return and deletion. When your access ends or when we ask, you must stop using Our Materials and delete or return them, except as an Underlying Agreement allows or the law requires you to keep them. If we ask, you will confirm in writing that you have done so.

9.5 Reservation of rights. We and our licensors reserve all rights not expressly granted in these Terms. Nothing in these Terms transfers ownership of any intellectual property or grants any license by implication or estoppel.

10. CONFIDENTIALITY

10.1 What is confidential. “Confidential Information” means non-public information you access through the Services or receive from us in connection with them, including project plans, schedules, statuses and timelines, briefs, pricing and commercial terms, unreleased creative work and content, brand materials, strategies, the identity, contact details and information of our clients, creators, partners and personnel, and the Services themselves. Your Content is not Confidential Information for the purposes of your own obligations.

10.2 Your obligations. You must keep Confidential Information confidential, use it only for the project, program or relationship for which it was provided, share it only with people in your Organization or team who need to know it for that purpose and who are bound by confidentiality obligations at least as protective as these, and protect it with at least reasonable care. You are responsible for any breach by a person with whom you share it.

10.3 No capture or posting. Except for sharing permitted by Section 10.2, Section 27.2 or your Underlying Agreement, you must not screenshot, screen-record, photograph, repost, publish or share on social media any Confidential Information, including unreleased content, trackers, schedules or brand materials.

10.4 Exceptions. These obligations do not apply to information that you can show (a) is or becomes public through no fault of yours, (b) you already lawfully knew without restriction, (c) you received lawfully from a third party without restriction, or (d) you developed independently without using Confidential Information.

10.5 Required disclosure. You may disclose Confidential Information to the extent required by law or court order, after giving us prompt written notice where lawful so that we may seek protection, and you must disclose only what is legally required.

10.6 Our commitment to you. We will keep Your Content and the non-public information you give us confidential, use it only to provide the Services and carry out the project or relationship, and share it only with Project Participants, our service providers and professional advisers, and as described in our Privacy Policy, your Underlying Agreement or as required by law.

10.7 Other confidentiality terms. If an Underlying Agreement or non-disclosure agreement contains confidentiality terms, those terms control. This Section 10 applies to anything they do not cover.

10.8 Duration. These obligations continue after your access ends for as long as the information remains non-public and, for any trade secret, for as long as it remains a trade secret under applicable law.

10.9 Remedies. You acknowledge that a breach of this Section 10 or of Section 6, 7 or 9 may cause us irreparable harm for which money damages would not be an adequate remedy. In addition to any other remedy, we may seek injunctive and other equitable relief without posting a bond or proving actual damages, to the extent permitted by law.

10.10 Protected activity. Nothing in these Terms prohibits you from reporting possible violations of law to a government agency or from making other disclosures protected by law. Under 18 U.S.C. § 1833(b), an individual will not be held liable under any federal or state trade secret law for disclosing a trade secret in confidence to a government official or an attorney solely for the purpose of reporting or investigating a suspected violation of law, or in a complaint or other document filed under seal in a legal proceeding.

11. FILE TRANSFERS AND DOWNLOADS

11.1 Downloads are your responsibility. Once you download a file, keeping it secure is your responsibility. Store downloads securely, do not share them outside Section 10.2 or 27.2, and delete them when you no longer need them for the approved purpose.

11.2 Service providers. Uploads and downloads may be processed by our service providers, including file storage providers, and your browser may connect to them directly. Download links may expire after a short time.

11.3 No virus scanning. We do not scan files for viruses and do not guarantee that files exchanged through the Services are free of harmful components. Use up-to-date security software and scan files before opening them. We are not responsible for files uploaded by other users.

11.4 Limits. File size, type and number limits may apply and may change.

12. TRACKERS, STATUSES, APPROVALS AND ELECTRONIC COMMUNICATIONS

12.1 The tracker is for information only. Project stages, statuses, health indicators, dates, milestones and schedules shown in the Services are estimates for convenience and may change. They do not create or change any obligation, deadline or guarantee. Your Underlying Agreement governs what is owed and when.

12.2 Your approvals count. Approvals, sign-offs, answers and selections made through the Services by an Authorized User from your side are treated as made by you and, where applicable, your Organization, and we may rely on them. Where the Services cannot show which person on your side acted (for example, on a shared client link), the action is treated as your side’s. If you are not authorized to approve something, do not approve it.

12.3 Electronic communications and signatures. You consent to receive communications from us electronically, including by email and in the Services, and agree that these satisfy any legal requirement that a communication be in writing. Clicking “I agree,” “Accept” or an approval button in the Services is your electronic signature for that acceptance or approval, to the extent permitted by applicable law, including the federal Electronic Signatures in Global and National Commerce Act and state electronic transactions laws. Uploading or submitting a document is not by itself a signature or acceptance of anything, unless the document is one you have signed yourself, in which case your signature on it has whatever effect it would have outside the Services. If we offer an electronic signature feature, additional terms may apply. You may withdraw your consent to electronic communications by contacting us at paula@saintandcitizen.com, but we may then end your access to the Services.

12.4 Not for urgent or legal notices. Do not use messages or notes in the Services for legal notices, termination notices or urgent matters. Send those to the contact in your Underlying Agreement or to paula@saintandcitizen.com.

12.5 Do not forward our emails. Emails from us may contain links and passcodes. Do not forward them.

13. MONITORING AND RECORDS

We may monitor, log and record use of the Services, including who has access to a given client or creator space, sign-in activity, uploads, downloads, other file access, approvals and communications, and device and connection information (including device fingerprinting, which may include your IP address). We do this to operate and secure the Services, enforce these Terms and keep business records, as described in our Privacy Policy. Our records of activity in the Services are evidence of that activity unless shown to be wrong. We may preserve and disclose records where we believe in good faith that doing so is needed to comply with law or legal process, enforce these Terms, respond to claims, or protect the rights, property or safety of any person. We have no obligation to monitor content or conduct.

14. PRIVACY

14.1 Privacy Policy. Our Privacy Policy explains how we collect, use and share personal information. By using the Services, you acknowledge that we will handle personal information as the Privacy Policy describes.

14.2 Information about other people. If you give us personal information about another person, you represent and warrant that you have the authority and any consent required to do so.

14.3 United States operations. The Services are operated from the United States. If you use them from another country, you understand that your information will be transferred to, stored and processed in the United States and other countries where we or our service providers operate, where the laws may differ from those where you live.

15. AUTOMATED AND AI FEATURES

The Services may use automated and artificial intelligence tools, now or in the future, as described in our Privacy Policy. Output generated by these tools may be inaccurate or incomplete, is provided for convenience and is not advice. You should not rely on it without checking it, and you are responsible for any decision you make based on it.

16. THIRD-PARTY SERVICES

The Services use and may link to or integrate with third-party services (for example, file storage, fonts, video, calendars and email). Your use of them may be subject to their own terms and privacy policies. We do not control third-party services, are not responsible for them and do not guarantee their availability, security or content.

17. FEEDBACK AND INDEPENDENT DEVELOPMENT

17.1 Feedback. If you give us ideas, suggestions or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose, without restriction or obligation to you.

17.2 Independent development. We work with many clients, creators and partners and may independently develop, or receive from others, ideas and work that are similar to yours. Nothing in these Terms restricts us from doing so, as long as we do not breach our confidentiality obligations to you.

18. CHANGES TO THE SERVICES; PAID FEATURES

18.1 Changes. We may add, change, suspend or remove any part of the Services at any time, including features, limits and access methods, without liability to you. Some features may be labeled beta, preview or experimental and are provided as-is. These Terms apply to all features, including new ones, unless we say otherwise.

18.2 Paid features. Access to the Services is currently provided without a separate charge. If we offer paid features, memberships, tickets or other purchases, the price, billing, renewal, cancellation and refund terms shown at the time of purchase will apply in addition to these Terms, together with any consumer rights you have under applicable law. A Minor may not make a purchase without the Parent’s consent.

19. SUSPENSION AND TERMINATION

19.1 Our rights. We may suspend, restrict, void or terminate your access to all or part of the Services at any time, in our sole discretion, with or without cause and with or without notice, including if a project ends, if we believe you have breached these Terms, or to protect the Services, our business or others. This right applies to every Authorized User, including clients, brands, sponsors, creators, talent, managers, agents, representatives, Parents, Minors and Collaborators. Where practical we will tell you, but we are not required to, and nothing in this Section 19.1 requires us to give a reason.

19.2 Your rights. You may stop using the Services at any time. Your Underlying Agreement governs any termination of our commercial relationship.

19.3 Effect. When your access ends, your right to use the Services ends, you must comply with Section 9.4, and we may retain, archive or delete Your Content in line with our Privacy Policy and any Underlying Agreement. We are not liable to you or anyone else for suspending or ending access.

19.4 Survival. Sections 2, 3, 5, 6.3, 7 (as it applies to materials you obtained while you had access), 8.2 (for content we retain), 8.3, 8.4, 8.7, 9, 10, 11.1, 12.2, 12.3, 13, 14, 17, 19 through 25, 27.2, 27.3, 27.4 and 28, and any other provision that by its nature should survive, survive the end of your access.

20. DISCLAIMERS

20.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT AND MATERIALS IN THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

20.2 THE SAINT & CITIZEN PARTIES DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT FILES OR DATA WILL NOT BE LOST OR CORRUPTED, THAT FILES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION OR OUTPUT IN THE SERVICES IS ACCURATE OR COMPLETE. THE SAINT & CITIZEN PARTIES ARE NOT RESPONSIBLE FOR THE CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY.

20.3 NOTHING IN THE SERVICES IS LEGAL, TAX, FINANCIAL OR OTHER PROFESSIONAL ADVICE. NOTHING IN THESE TERMS LIMITS ANY WARRANTY EXPRESSLY GIVEN IN AN UNDERLYING AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

21. LIMITATION OF LIABILITY

21.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SAINT & CITIZEN PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

21.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE SAINT & CITIZEN PARTIES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$1,000 AND (B) THE FEES YOU PAID TO US UNDER THE RELEVANT UNDERLYING AGREEMENT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

21.3 THESE LIMITATIONS APPLY TO EVERY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US.

21.4 What is not limited. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including, where applicable, liability for fraud, gross negligence or willful misconduct, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations of liability, so some of the limitations above may not apply to you.

21.5 Underlying Agreements. Liability under an Underlying Agreement is governed by that agreement.

21.6 Your liability. The limitations in this Section 21 protect the Saint & Citizen Parties. They do not limit your liability to us, including for breach of Section 6, 7, 9 or 10 or under Section 22.

22. INDEMNIFICATION

22.1 Your indemnity. To the fullest extent permitted by law, you will defend, indemnify and hold harmless the Saint & Citizen Parties from and against all claims, demands, actions and proceedings brought by a third party, and all resulting losses, liabilities, damages, judgments, settlements, fines, costs and expenses (including reasonable attorneys’ fees), arising out of or relating to:

(a) Your Content;

(b) your access to or use of the Services, or any use of your Access Credentials for which you are responsible;

(c) your breach of these Terms or of any representation or warranty in them;

(d) your violation of any law or any third party’s rights;

(e) the acts or omissions of your Organization’s personnel or of anyone you represent; or

(f) if you are a Parent, the Minor’s access to or use of the Services, any breach of these Terms by the Minor, and any disaffirmance or attempted disaffirmance by the Minor.

22.2 Exception. You are not required to indemnify a Saint & Citizen Party to the extent a claim is finally determined to have resulted from that party’s gross negligence or willful misconduct.

22.3 Procedure. We will notify you of any claim for which we seek indemnity, although a delay in notice relieves you of your obligations only to the extent you are materially prejudiced. We may choose to control the defense and settlement of the claim with counsel of our choice, at your expense, and you will cooperate with us. You may not settle any claim in a way that admits fault by, or imposes any obligation on, a Saint & Citizen Party without our prior written consent.

23. RELEASE

23.1 Disputes with others. We are not a party to, and are not responsible for, disputes between you and any other user, Project Participant or third party. To the fullest extent permitted by law, you release the Saint & Citizen Parties from all claims, demands and damages, known or unknown, arising out of or relating to any such dispute. This release does not affect any claim you may have against us under an Underlying Agreement.

23.2 California waiver. If you are a California resident, you waive California Civil Code Section 1542 in connection with this release. Section 1542 provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

24.1 Notice of infringement. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. If you believe material in the Services infringes your copyright, send us a written notice that includes the information required by 17 U.S.C. § 512(c)(3):

(a) your physical or electronic signature, or that of a person authorized to act for the copyright owner;

(b) identification of the copyrighted work you claim has been infringed;

(c) identification of the material you claim is infringing and information reasonably sufficient for us to locate it in the Services;

(d) your name, address, telephone number and email address;

(e) a statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent or the law; and

(f) a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act for the copyright owner.

24.2 Where to send notices. Send copyright notices to us at paula@saintandcitizen.com, or by mail to Saint & Citizen Ventures LLC, Attn: Copyright Notices, 2125 Biscayne Blvd, FL 3-2016, Miami, FL 33137.

24.3 Counter-notice. If your content was removed and you believe that was a mistake or misidentification, you may send us a counter-notice that meets the requirements of 17 U.S.C. § 512(g)(3). We may restore the content as the law permits.

24.4 Repeat infringers. In appropriate circumstances, we will end the access of users who repeatedly infringe the rights of others.

24.5 Misrepresentations. Anyone who knowingly makes a material misrepresentation in a notice or counter-notice may be liable for damages under 17 U.S.C. § 512(f).

25. GOVERNING LAW AND DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND LIMITS THE WAYS YOU CAN SEEK RELIEF FROM US.

25.1 Governing law. These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of the agreement to arbitrate in this Section 25. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

25.2 Informal resolution first. Before starting an arbitration or court proceeding, the party with the dispute must send the other party a written notice describing the dispute, the facts on which it is based and the relief sought. Send notices to us at paula@saintandcitizen.com. We will send notices to you at the email address associated with your access. The parties will try in good faith to resolve the dispute within 60 days after the notice is received. Any limitations period is tolled during that 60-day period. Completing this process is a condition to starting an arbitration or court proceeding, except for a request for relief under Section 25.6(b).

25.3 Agreement to arbitrate. Except as stated in Section 25.6, any dispute, claim or controversy arising out of or relating to these Terms or the Services, including their formation, interpretation, breach, termination or validity, will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, in effect when the arbitration is filed. The arbitrator, and not a court, has exclusive authority to decide all questions about the scope and enforceability of this agreement to arbitrate, except that a court will decide whether Section 25.7 is enforceable.

25.4 Procedure. The arbitration will be conducted in English by a single arbitrator. The seat of the arbitration is Miami, Florida. Hearings may be held by video or telephone or decided on written submissions where the AAA rules permit, and any in-person hearing will be held in Miami, Florida unless the AAA rules require another location or the parties agree otherwise. The arbitrator may award any individual relief that a court could award, subject to the limits in these Terms, and will issue a reasoned written decision. Judgment on the award may be entered in any court with jurisdiction. The parties will keep the arbitration and any award confidential, except as needed to enforce the award or as required by law.

25.5 Fees. The AAA rules govern the payment of filing, administrative and arbitrator fees. Each party will bear its own attorneys’ fees and costs unless the arbitrator awards them as permitted by applicable law or an Underlying Agreement. The arbitrator may award fees and costs against a party that brings a claim that is frivolous or brought for an improper purpose.

25.6 Exceptions. Despite Section 25.3:

(a) either party may bring an individual claim in small claims court if the claim qualifies;

(b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop the actual or threatened infringement or misappropriation of intellectual property, the breach of confidentiality obligations, or unauthorized access to or misuse of the Services; and

(c) a dispute under an Underlying Agreement is governed by the dispute resolution terms of that agreement.

25.7 CLASS ACTION WAIVER. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THIS SECTION 25.7 IS FOUND UNENFORCEABLE AS TO ANY CLAIM, THAT CLAIM WILL BE SEVERED AND DECIDED IN COURT UNDER SECTION 25.10, AND ALL OTHER CLAIMS WILL REMAIN IN ARBITRATION.

25.8 JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

25.9 Right to opt out. You may opt out of the agreement to arbitrate in Section 25.3 by emailing paula@saintandcitizen.com within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out” and your full name and the email address associated with your access. A Parent may opt out on a Minor’s behalf in the same way. If you opt out, the rest of these Terms, including Sections 25.7, 25.8 and 25.10, continue to apply.

25.10 Courts. For any dispute that is not subject to arbitration, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction. You and we consent to the personal jurisdiction of and venue in those courts and waive any objection that they are an inconvenient forum.

25.11 Mandatory consumer protections. If you are a consumer, nothing in these Terms removes any protection given to you by the law of the place where you live that cannot be waived by agreement.

25.12 Changes to this Section. If we change this Section 25 after you first accept these Terms, the change will not apply to a dispute of which either party gave notice under Section 25.2 before the change took effect. You may reject a material change to this Section 25 by emailing paula@saintandcitizen.com within 30 days after we notify you of it, in which case the prior version of this Section 25 will continue to apply to you.

25.13 Survival. This Section 25 survives the end of your access and of these Terms.

26. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post the updated version with a new version number and “Last Updated” date. If we make material changes, we will notify you, for example by email, by a notice in the Services, or by asking you to accept the updated Terms before continuing. If we ask you to accept the updated Terms, the changes apply to you once you accept. Otherwise they take effect when posted or on the date we state. If you do not agree to the updated Terms, you must stop using the Services. Your continued use after the changes take effect is your acceptance of them. Where a Minor uses the Services, we may require the Parent to accept material changes.

27. ROLE-SPECIFIC TERMS

27.1 Clients and Brands

(a) You may add people to your project only by asking us. Each person receives a separate passcode, and you must tell us promptly when someone on your side should no longer have access.

(b) Content uploaded to a project link is visible to everyone with access to that link and to the Project Participants working on it, including Collaborators we engage for your project and any creators, talent and representatives on its team list, who may access, edit and download files in our shared file storage. Brand-level materials you provide (such as colors and typefaces) may be shared across all of your Organization’s projects.

(c) Approvals given in the Services are treated as your Organization’s approval (see Section 12.2).

27.2 Creators, Talent and Their Representatives

This Section 27.2 applies to Creators, to other talent we work with (for example, an artist booked for a brand campaign), and to their managers, agents and other representatives.

(a) Your agreement governs the relationship. Fees, exclusivity, deliverables, filming and appearance commitments, ownership of the content we make together, credits, and the use of your name, image, likeness and voice are set by your creator partnership agreement, talent agreement and any releases. These Terms do not change that agreement (see Section 3.1). Where it does not address a matter below, this Section 27.2 applies. Where there is no agreement, or it does not address publication, Section 8.2 applies and we will not publish Your Content, or your name, image, likeness or voice, without your written permission.

(b) Our unreleased material is confidential. Episodes, cuts and other program content we produce, and the schedules, filming locations, guest and artist plans, budgets, show names and program news that we share with you, are Confidential Information until we publish or announce them. Do not post, preview or tease them before then, unless your agreement or our written approval allows it. This does not restrict Your Content (for example, your own pitches and ideas) or anything Section 10.4 excludes, and you may share Confidential Information with your manager, agent and professional advisers on a need-to-know basis, on the same terms as Section 10.2. Nothing in this Section 27.2 stops a Creator or other talent from saying that they work, or no longer work, with us.

(c) Sharing published content. When you re-share program content we have published, follow the credit and tagging instructions in your agreement or that we give you (for example, re-sharing our post rather than re-uploading it).

(d) Guests, artists, music and locations. If you suggest or arrange a guest, artist, piece of music or location, tell us about any rights, releases or permissions it needs. Do not promise anyone an appearance, payment, credit or use of that person’s work on our behalf without our written approval.

(e) Managers and representatives. If you have access to one or more creators’ pages, you may use that access only on behalf of those creators and only as they have authorized, and you must keep each creator’s materials separate and confidential. A creator’s page is visible to the managers and representatives we have given access to it, and uploads and documents on it, including invoices and signed documents, are visible to all of them.

(f) Signed documents. Uploading a signed document through the Services is a way of delivering it. It does not by itself create, change or waive any Underlying Agreement.

(g) Minor Creators and talent. If a Creator or other talent is a Minor, Section 5 applies in full. The Minor’s Parent must accept these Terms and sign the Underlying Agreement and every release, and each manager, agent or other representative of the Minor must act only with the Parent’s authorization.

27.3 Sponsors and Partners

Partnership pages, proposals, positions, statuses and pricing shown in the Services are Confidential Information and are for discussion only. They are not an offer capable of acceptance and do not bind either party until set out in a signed Underlying Agreement.

27.4 Collaborators (Freelancers, Crews, Contractors and Vendors)

This Section 27.4 applies to Collaborators, and not to Creators, other talent or their representatives (who are covered by Section 27.2).

(a) If you are given access to project files, shared folders or client materials, you may use them only to perform the work we have engaged you for, must keep them confidential under Section 10, must not keep copies after the work ends except as we allow in writing, and must tell us immediately of any unauthorized access.

(b) Your contractor agreement with us, if any, controls (see Section 3.1). This Section 27.4 applies to anything it does not cover.

27.5 Members and Event Guests

If we offer memberships, events or ticketed experiences through the Services, the membership terms, ticket terms, event rules and venue rules presented to you at the time also apply. If they conflict with these Terms as to that membership or event, they control. A Minor may join or attend only with the Parent’s consent and subject to any age limit we set.

28. GENERAL

28.1 Entire agreement. These Terms, any Underlying Agreement and any written project terms confirmed under Section 3.2 are the entire agreement between you and us about the Services and replace all earlier understandings about them. Our Privacy Policy explains how we handle personal information. It is a notice, not part of this agreement.

28.2 Assignment. You may not assign or transfer these Terms or your access, by operation of law or otherwise, without our prior written consent, and any attempt to do so is void. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

28.3 Severability. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms will remain in effect, subject to Section 25.7.

28.4 No waiver. Our failure or delay in enforcing any provision is not a waiver of our right to do so later. A waiver is effective only if it is in writing and signed by us.

28.5 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, severe weather, epidemics, acts of government, war, terrorism, labor disputes, and failures of utilities, networks or third-party service providers.

28.6 Notices. We may give you notice by email to the address associated with your access, or in the Services. Notice by email is treated as received when sent. You must give us legal notices at paula@saintandcitizen.com, with a copy to Saint & Citizen Ventures LLC, 2125 Biscayne Blvd, FL 3-2016, Miami, FL 33137.

28.7 Third-party beneficiaries. The Saint & Citizen Parties are intended third-party beneficiaries of Sections 20 through 23 and may enforce them. Otherwise, these Terms do not give any rights to anyone other than you and us.

28.8 Relationship. Nothing in these Terms creates a partnership, joint venture, employment, fiduciary or agency relationship between you and us.

28.9 Remedies. Our rights and remedies under these Terms are cumulative and are in addition to any rights and remedies we have at law, in equity or under an Underlying Agreement.

28.10 Export and sanctions. You must comply with all export control and sanctions laws that apply to your use of the Services, and you must not use the Services in or for the benefit of any country, entity or person with which United States persons are prohibited from dealing.

28.11 California notice. Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

28.12 Interpretation. Headings are for convenience only. “Including” means “including without limitation.” These Terms are written in English, and the English version controls over any translation. No rule of construction applies against the party that drafted these Terms.
